Clear Advice When Your Company Is Under Pressure

Financial pressure rarely comes from one problem alone. A business may be dealing with falling revenue, rising costs, overdue tax liabilities, unpaid suppliers and limited access to finance at the same time.

These difficulties can quickly become overwhelming, particularly when directors are trying to protect employees, customers and long-standing business relationships.

I&R Advisory helps directors review the full financial position. We assess what is happening now, what obligations are approaching and whether the company has a realistic path forward.

Our liquidation advice may cover:

  • The company’s ability to pay its debts
  • Immediate cash flow and creditor pressure
  • Outstanding ATO and employee liabilities
  • Available assets and sources of funding
  • Personal guarantees provided by directors
  • Current legal or recovery action
  • Whether the business remains commercially viable
  • Liquidation and restructuring options
  • The responsibilities of directors
  • The steps required to begin an appointment

We will not recommend company liquidation without first considering whether another suitable solution may produce a better outcome.

Liquidation Services for Different Company Circumstances

No two businesses enter liquidation for exactly the same reason. Some companies have become insolvent following a sustained period of financial difficulty. Others are solvent but are no longer required by their shareholders.

I&R Advisory provides several types of business liquidation services.

Creditors’ Voluntary Liquidation

A Creditors’ Voluntary Liquidation, commonly called a CVL, may be appropriate when a company is insolvent and cannot continue trading.

The process is initiated voluntarily by the company’s directors and shareholders. It allows them to appoint a registered liquidator and begin an orderly wind-up before a creditor obtains a court order.

A CVL can provide:

  • A formal end to unsustainable trading
  • Independent management of company assets
  • Structured communication with creditors
  • Investigation of the company’s financial affairs
  • Distribution of available funds according to legal priorities
  • A pathway towards deregistration of the company

Acting voluntarily may give directors more certainty over timing and preparation than waiting for compulsory action.

Members’ Voluntary Liquidation

A Members’ Voluntary Liquidation, or MVL, is designed for solvent companies that can pay their debts in full.

Shareholders may choose an MVL when the company has completed its purpose, the owners are retiring or the business structure is no longer required. It provides an orderly way to settle liabilities and distribute remaining assets to shareholders.

An MVL requires careful planning, including a valid declaration of solvency. Directors and shareholders should also obtain independent taxation and legal advice before proceeding.

Simplified Liquidation

Some eligible small businesses may be able to use the simplified liquidation process.

This pathway reduces certain reporting, investigation and administrative requirements. It may offer a more efficient and cost-effective way to wind up a small insolvent company with relatively straightforward financial affairs.

Eligibility requirements apply. I&R Advisory can assess the company’s liabilities, lodgement history, previous restructuring activity and other relevant circumstances to determine whether simplified liquidation may be available.

Court Liquidation

Court liquidation, also called compulsory liquidation, occurs when a court orders a company to be wound up. It is often initiated by a creditor after unsuccessful attempts to recover an unpaid debt.

If your company has received a statutory demand or a winding up application has been filed, urgent advice is recommended. These documents have strict response periods, and delaying action may significantly reduce the options available.

I&R Advisory accepts court liquidation appointments and assists creditors, directors and professional advisers involved in the process.

How I&R Advisory Supports Directors

Directors do not always know whether liquidation is necessary when they first contact us. You may simply know that the company is falling behind and the current situation cannot continue.

Our team begins by reviewing the company’s circumstances in practical terms. This may involve examining cash flow, outstanding debts, creditor action, company assets, employee obligations and the likelihood of the business returning to a sustainable position.

We then explain the available options in straightforward language.

Before an appointment, we can help directors understand:

  1. Whether the company may be insolvent
  2. Which type of liquidation may apply
  3. What information and records will be needed
  4. What control passes to the liquidator
  5. How employees and creditors will be notified
  6. Whether restructuring should be considered
  7. What directors must do after the appointment

For a broader explanation of what liquidation means for directors, employees and creditors, read our guide to liquidation for Australian businesses.

What Our Registered Liquidators Do

Once appointed, the registered liquidator becomes responsible for managing the company’s winding up.

Depending on the appointment, our work may include:

  • Securing company books, records and property
  • Identifying and protecting company assets
  • Arranging asset valuations and sales
  • Reviewing outstanding customer accounts
  • Communicating with employees and creditors
  • Assessing creditor claims
  • Investigating the company’s financial history
  • Reporting to creditors and ASIC
  • Recovering funds where appropriate
  • Distributing available proceeds
  • Completing statutory lodgements
  • Finalising the company’s affairs

The liquidator acts independently and must consider the interests of creditors as a whole. Throughout the appointment, we explain important developments and provide the required reports to relevant stakeholders.

Liquidation or Business Restructuring?

Company liquidation results in the business being wound up. However, a company experiencing financial difficulty may still have a viable underlying business.

Where appropriate, we consider whether changes to costs, operations, debt arrangements or business practices could improve the company’s position. Formal restructuring may provide an alternative to an immediate closure.

Potential options include:

A small business restructure may allow eligible directors to remain in control while proposing a debt repayment plan to creditors.

Voluntary administration places an independent administrator in control while the company’s financial position and possible future are assessed. If creditors approve a Deed of Company Arrangement, they may agree to receive a percentage of the amount owed under agreed terms.

The right solution depends on the company’s cash flow, debts, assets, creditor pressure and prospects of returning to a sustainable position.

Support for Creditors and Professional Advisers

I&R Advisory also accepts referrals and appointments from accountants, lawyers, lenders, secured creditors and other professional advisers.

Creditors may need help understanding their recovery options, the value of available security or the likely effect of a formal insolvency appointment. Professional advisers may require an independent assessment before recommending a course of action to their client.

Our corporate insolvency services include:

  • Independent solvency assessments
  • Pre-lending reviews
  • Security and asset reviews
  • Formal liquidation appointments
  • Voluntary administrations
  • Deeds of Company Arrangement
  • Receiverships
  • Small business restructuring
  • Creditor reporting and communication
  • Advice on possible recovery pathways

We provide commercially focused guidance while recognising the effect financial distress can have on every party involved.
